2. Definitions

"Site" refers to the QR Code Maker website at qrcodemaker.eu and all associated content and links.

"QR Code" means a two-dimensional barcode that contains data, which can be scanned by a mobile device to direct users to a specific URL or provide other information.

"Static QR Code" means a QR code whose destination is fixed at creation and cannot be changed after generation.

"Dynamic QR Code" means a QR code whose destination URL can be edited after creation and whose scans can be tracked with analytics.

"Services" include the creation, customization, and management of QR codes and any other features or functionalities provided on our Site.

"Visitor" is any person who browses the Site without creating an Account.

"User" refers to an individual or entity that has created an Account and is authorized to use additional features and functionalities of the Site.

"Account" is an electronic account created by a Visitor, identified by an email address and password, which allows access to premium features of the Site.

"Subscription" refers to a paid arrangement that grants Users access to specific features or functionalities of the Site for a set period.

"Chargebee" means our third-party subscription management platform used to handle billing, invoices, payment methods, and subscription lifecycle.

"Payment Processor" means the payment service provider we use to handle transactions, operating through Chargebee.

3. Access to the Site and Services

3.1 Grant of License
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or business needs. This license does not include any rights to reproduce, duplicate, copy, sell, or exploit any part of the Site or Services without our prior written consent.

3.2 Eligibility
To use our Services, you must be at least 18 years old. If you are accessing the Services on behalf of a legal entity, you must be authorised to bind that entity to these Terms.

3.3 Static QR Codes (Free)
Static QR codes can be generated by Visitors without creating an Account. Static QR codes are free to create and remain permanently active. The destination of a Static QR code cannot be changed after generation.

3.4 Dynamic QR Codes (Pro Feature)
Dynamic QR codes allow you to edit the destination URL after creation and track scan analytics. Dynamic QR codes are available during the free trial period and with an active Pro subscription. If your trial expires or your subscription lapses, Dynamic QR codes will be locked and will not redirect until a subscription is reactivated.

3.5 Account Registration
To access Dynamic QR codes and premium features, you must register an Account. Registration requires providing accurate and up-to-date information including a valid email address. You are responsible for maintaining the confidentiality of your Account credentials and for all activities conducted under your Account.

4. Free Trial

We offer a 14-day free trial that gives you full access to Dynamic QR code features at no charge. No credit card is required to start the free trial.

At the end of the 14-day trial period:

• Dynamic QR codes will be locked and will no longer redirect until a Pro subscription is activated
• Static QR codes remain fully functional and free forever
• You will receive an email reminder before the trial expires

By starting the free trial and using Dynamic QR features, you acknowledge this lock mechanism and agree that it does not constitute a service failure or grounds for a refund claim.

5. Subscription and Payment

5.1 Subscription Plans
Pro subscriptions are available on Monthly, 3-Month, and Annual billing cycles. Fees for each plan are detailed on our Pricing page at qrcodemaker.eu/pricing/. We reserve the right to change pricing at any time with at least 14 days' notice to active subscribers.

5.2 Subscription Management via Chargebee
All billing, invoicing, payment method updates, and subscription changes are managed through our Chargebee customer portal at:

proceedinteractive.chargebeeportal.com/portal/login

Log in using the email address you used at checkout. From the portal you can view your plan, update your payment method, download invoices, and cancel your subscription.

5.3 Auto-Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will receive an email notification before each renewal. By subscribing, you authorise Proceed Interactive Marketing Group LTD to charge your payment method on a recurring basis.

5.4 Welcome Email
Upon activating a subscription, you will receive a welcome email to the address used at checkout. This email contains your subscription summary, plan details, next renewal date, payment method on file, and a link to your Chargebee portal.

5.5 Accepted Payment Methods
Visa · Mastercard · PayPal. Payments are accepted in EUR and USD.

5.6 OFAC Compliance
We will not trade with or provide services to individuals or entities on OFAC sanctioned lists, in accordance with applicable EU and international law.

6. Cancellation Policy

You may cancel your subscription at any time through the Chargebee customer portal at proceedinteractive.chargebeeportal.com/portal/login, or by contacting us at [email protected].

Cancellation stops future billing. Your Pro subscription remains active until the end of the current paid period. We do not charge cancellation fees. After cancellation, Dynamic QR codes will be locked at the end of the billing period.

7. Refund Policy

We offer a 30-day money-back guarantee on all new Pro subscriptions. If you are not satisfied within 30 days of your first paid subscription, contact us at [email protected] for a full refund — no questions asked.

Refunds are processed within 2–5 business days to your original payment method.

Refunds are not available:

• After 30 days from the initial subscription date
• For subscription renewals where cancellation was not completed before the renewal date
• For the free trial period (no charges are made during the trial)

8. Acceptable Use and Prohibited Activities

You agree to use qrcodemaker.eu only for lawful purposes. You must not use the Site or Services to:

• Create, distribute, or redirect QR codes to malicious software, phishing sites, or other harmful content
• Create QR codes that infringe third-party trademarks, copyrights, or other intellectual property rights
• Use QR codes for deceptive redirects — where the stated destination differs materially from the actual destination
• Distribute QR codes promoting illegal goods, services, or activities
• Harass, threaten, or defame others, or disseminate hate speech or discrimination
• Use automated tools, bots, or scraping techniques to access or collect data from the Site without permission
• Attempt to reverse engineer, decompile, or discover the source code of the Site or related software
• Interfere with or disrupt the operation of the Site or services

We reserve the right to immediately lock, disable, or delete any QR code that we determine violates these Terms, without prior notice. We may report prohibited activities to the appropriate authorities.

9. URL Safety and Abuse Prevention

When you create or update a Dynamic QR code, the destination URL may be automatically checked against external safety databases including Google Safe Browsing to detect malicious, phishing, or harmful content.

If a URL is flagged as harmful:

• The QR code will be locked immediately
• You will be notified by email
• You may appeal by contacting [email protected]

If you receive a trademark complaint or notice of IP infringement relating to a QR code you created, you must deactivate the relevant QR code immediately upon notification.

10. Intellectual Property

10.1 Platform IP
The Site, including all content, features, and functionality, is owned by Proceed Interactive Marketing Group LTD and protected by applicable intellectual property laws. You may not reproduce, duplicate, copy, sell, or exploit any part of the Site without our prior written consent.

10.2 User-Generated Content
You retain ownership of the content and URLs you use to create QR codes. By using our Services, you grant Proceed Interactive Marketing Group LTD a limited licence to host and deliver your QR codes as part of the service. You represent that you have the necessary rights to use all content and URLs in your QR codes and that doing so does not infringe any third-party rights.

11. Privacy and Data Protection

Your use of qrcodemaker.eu is subject to our Privacy Policy available at qrcodemaker.eu/privacy-policy/. By using the Service, you consent to the data practices described therein. We comply with the General Data Protection Regulation (GDPR) as a company registered in Cyprus, European Union.

12. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Site or Services will be uninterrupted, error-free, or free of harmful components. QR code scan data is collected and displayed in good faith but we do not guarantee the accuracy of analytics data.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Proceed Interactive Marketing Group LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services. Our total liability for any claim shall not exceed the amount you have paid to us in the three months preceding the event giving rise to the liability.

14. Account Termination

Termination by You
You may terminate your Account at any time by cancelling your subscription via the Chargebee portal and contacting us to request account deletion. Upon termination, Dynamic QR codes will be deactivated at the end of the current billing period.

Termination by Us
We reserve the right to suspend or terminate your Account without notice if you violate these Terms, engage in fraudulent or illegal activities, or create QR codes that pose a risk to the safety of our users or the public. In such cases, no refund will be issued for the remaining subscription period.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Cyprus. Any disputes arising from these Terms shall first be attempted to be resolved amicably through direct negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Cyprus.

For EU consumers, nothing in these Terms affects your statutory rights under applicable consumer protection law in your country of residence.

16. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at qrcodemaker.eu/terms-and-conditions/. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of the Site or Services after changes take effect constitutes acceptance.
